Commercial Law 1B (COL41B1) is a semester-long (second-semester) course designed to provide students with a comprehensive understanding of the legal frameworks governing companies, partnerships, business trusts, and close corporations in South Africa. While the module examines various business structures, its primary focus is on the legal position of companies under the Companies Act 71 of 2008, covering essential topics such as company formation, pre-incorporation contracts, corporate finance, and the regulation of shareholder meetings and resolutions. The curriculum places significant emphasis on the fiduciary duties, responsibilities, and potential liabilities of directors, as well as complex corporate events including public offers, takeovers, and fundamental transactions. By the end of the module, students should be able to classify and describe different types of business enterprises, explain the internal and external relationships within these structures, such as those between holding and subsidiary companies. The module also touches on the impact of artificial intelligence on company law. The module is offered on APK and SWC, and it has a team of dedicated staff and tutors to assist students.
